FreeInsiderTrades tracks open-market insider trading disclosed on SEC Form 4, the Statement of Changes in Beneficial Ownership. Officers, directors and beneficial owners of more than 10% of a class of stock must file Form 4 within two business days of a transaction.
Trading on material non-public information is illegal. This site does not provide non-public information, and it does not encourage trading on it. Every trade shown here was already made public by the insider on an SEC Form 4 filing on EDGAR, and every row links to that original public filing. The name "insider trading" here means only this legal, disclosed trading, not trading on inside information.
Only transaction codes P (open-market purchase) and S (open-market sale) appear in the main feed. Code A (grant/award), M (exercise/conversion), F (tax withholding), G (gift) and similar codes are compensation or administrative events, not discretionary market decisions, and are excluded from buy/sell totals.
A cluster buy is 3 or more different insiders buying the same company's stock within a 30-day window, with no offsetting insider sales in that window. Cluster buys are shown as a signal to research further, not as a recommendation.
Transaction date and filing date are shown separately and are not interchangeable. If a filing is amended on Form 4/A, the amended version replaces the original.
Filings are reproduced as filed, including occasional errors in the price field. Single trades reported over $1 billion are shown in the latest feed with a link to the original filing, but are excluded from the Biggest Buys ranking pending verification.
Insider sales are often diversification, tax, or pre-planned Rule 10b5-1 selling, and are a weaker signal than buys. Insiders can be wrong on timing. Nothing on this site is investment advice. Every trade links to its original SEC filing: verify it there before acting on it.
